Project Terms and Conditions

These are the Project Terms and Conditions (“Terms”) of The Digital Tailors, a company registered in the United Arab Emirates. Our registered office is at ADDRESS. In these Terms, we refer to The Digital Tailors as “we”, “us”, and “our”.

Your attention is drawn in particular to Clause 7.1, the indemnity in Clause 11.10, and the limitations of liability set out in Clause 13 below.

1. Interpretation

1.1 Definitions:

  • Background IPR: All Intellectual Property Rights belonging or licensed to The Digital Tailors that have been developed independently of this agreement.
  • Additional Charges: Fees incurred beyond the agreed project scope, as outlined in Clause 7.1.
  • Brief: The project brief included in the Statement of Work.
  • Business Day: A day other than Saturday, Sunday or UAE public holidays when banks in Dubai are open for business.
  • Charges: The fees payable by the Client for the Services as outlined in the Statement of Work, including Additional Charges and any other fees agreed in writing.
  • Client (or “you”): The organisation or individual entering into these Terms.
  • Client Materials: Any materials, tools, data, or resources provided by the Client to The Digital Tailors in connection with the Services.
  • Deliverables: Items or services outlined in the Statement of Work.
  • Intellectual Property Rights: Copyright, trademarks, patents, trade secrets, and other intellectual property rights worldwide.
  • Services: The services provided by The Digital Tailors as described in the Statement of Work.
  • Statement of Work: A written agreement outlining the scope, timeline, and costs for the Services provided by The Digital Tailors.

2. Contract Formation and Term

2.1 The Contract begins on the date the Client accepts these Terms and the Statement of Work and remains in effect until terminated or completed.

2.2 These Terms take precedence over any prior agreements or understandings unless explicitly stated otherwise.

3. Services

3.1 The Digital Tailors will use reasonable efforts to provide the Services described in the Statement of Work.

3.2 Any changes to the agreed scope of Services must be documented and may result in Additional Charges or timeline adjustments.

4. Intellectual Property

4.1 Ownership of Deliverables will transfer to the Client upon full payment unless otherwise agreed in writing.

4.2 The Digital Tailors reserves the right to use completed work for promotional purposes unless explicitly restricted by the Client in writing.

5. Payment Terms

5.1 Invoices are payable within 14 days unless otherwise specified in the Statement of Work.

5.2 Late payments may incur interest at the rate of 2% per month.

5.3 The Digital Tailors reserves the right to pause or terminate Services for overdue payments.

6. Confidentiality

6.1 Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the Contract.

6.2 Confidentiality agreements may be requested by either party as needed.

7. Liability

7.1 The Digital Tailors is not liable for indirect, incidental, or consequential damages arising from the use of our Services.

7.2 The Client assumes responsibility for the accuracy and legality of any materials provided to The Digital Tailors.

8. Project Delays and Cancellations

8.1 Delays: If delays are caused by the Client or external factors beyond The Digital Tailors’ control, deadlines may be adjusted accordingly. Additional Charges may apply for extended timelines.

8.2 Cancellations: Cancellation requests must be submitted in writing. The Client is responsible for payment of all work completed up to the date of cancellation, including any non-refundable deposits.

9. Publicity

9.1 The Digital Tailors may feature completed projects in promotional materials, including portfolios and case studies, unless the Client requests otherwise in writing.

9.2 The Client agrees to provide attribution to The Digital Tailors when using Deliverables publicly, where appropriate.

10. Data Protection

10.1 Both parties will comply with applicable data protection laws in the handling of personal data.

10.2 The Client must ensure any data provided is legally obtained and shared.

11. Termination

11.1 Either party may terminate the agreement with 30 days’ written notice.

11.2 Upon termination, the Client must pay for all Services completed up to the termination date, including any additional costs incurred.

12. Governing Law

12.1 These Terms are governed by the laws of the United Arab Emirates.

12.2 Any disputes will be resolved exclusively in the courts of Dubai.
